These Terms of Use govern access to and use of Refect, a service operated under the Refect trade name by NearMe (SASU in the process of incorporation). By accessing the site or using the service, you agree to these terms.
Acceptance of terms
Use of the site implies full acceptance of these Terms of Use. If you do not accept these terms, please do not use the site.
Service description
Refect is software designed for merchants to create or enrich product catalogs, synchronize certain data with Shopify or Square, process product images, extract information from invoices, and handle some workflows related to online selling.
Some features rely on third-party services and automated processing. The service is provided "as is", may evolve at any time, and requires human review of outputs before publication or operational use.
Use of the service
Permitted uses
You are allowed to:
- Create and manage a merchant account and your shop profile
- Connect compatible services (Shopify, Square, billing or payment services) and synchronize data you are authorized to use
- Import product data, images, invoices, prompts, and other content for which you hold the necessary rights
- Use generated or synchronized outputs only after your own review
Prohibited uses
It is strictly prohibited to:
- Upload unlawful, confidential, or third-party content without authorization, including personal data you are not entitled to process
- Attempt to bypass security, authentication, billing, quota, or access limitations
- Use bots, automated scripts, or technical means to access the service at scale or extract data from it
- Disrupt or overload the site's servers
- Resell, copy, or exploit the service, its code, or its data outside the permitted uses
- Use the service in a way that violates applicable laws
Account, access, and security
You agree to:
- Provide accurate, up-to-date, and complete information when creating an account or connecting third-party services
- Keep your credentials, passwords, tokens, and technical access confidential
- Remain in control of actions performed through your account and connected integrations
You must notify us without delay of any unauthorized use, access loss, or security incident affecting your account.
Third-party services and dependencies
Depending on the features you use, Refect relies in particular on:
- Infrastructure and data providers, including Supabase, OVH, and, for some address search features, Nominatim/OpenStreetMap
- Application or payment providers, including Shopify, Square, Stripe, OpenAI, Mistral, or Google Gemini
Access to some features may depend on these third-party services. Their own terms and policies may also apply.
Subscriptions, payments, and generated outputs
Depending on your setup, subscription purchases or some billing operations may be handled by Stripe, Shopify, or Square. You are responsible for reviewing the terms applicable to those external services before using them.
Payment data entered on pages hosted by these providers is processed by them and not directly by Refect, unless explicitly stated otherwise at the time of payment.
Content generated, enriched, or synchronized by Refect (invoice extraction, product records, stock, images, categories, orders, or other data) is provided as operational assistance and must be reviewed by you before publication, commercial use, or disclosure to third parties.
Subscription renewal
Your subscription renews automatically on each billing date, for an identical term, until it is cancelled. The amount and date of the next renewal are shown at all times on the Subscription page of your account, and an invoice is issued on each billing date by the relevant payment provider (Shopify, Square or Stripe, depending on your setup).
Cancellation
You may cancel your subscription at any time. Access to paid features is maintained until the end of the current billing period already paid for. For subscriptions taken out through Shopify (Managed Pricing), cancellation is final on Shopify's side — to regain paid access after cancelling, you must subscribe to a new plan from the Subscription page. Uninstalling the Shopify app automatically cancels the subscription, with no credit for the remaining period.
Refund policy
Refect is a professional service, subscribed to by merchants in the course of their main business activity. The statutory right of withdrawal under French consumer law does not apply to these subscriptions. This policy therefore sets out your refund rights in full.
First payment: you have fourteen (14) calendar days from your first payment to request a full refund of that payment, with no justification required. Requests are made through the Contact page and the refund covers that first payment only.
After that period, and for any subsequent renewal, amounts invoiced are non-refundable. This applies in particular to unused or partially used periods, to low or zero use of the service, and to unused included credits, which are neither carried over nor refunded. Cancellation takes effect at the end of the current period.
We may grant a goodwill gesture at our sole discretion, in particular in the event of a prolonged service outage attributable to us. Any such gesture is capped at the last month invoiced, cannot cover earlier periods, and constitutes neither an acquired right nor a binding precedent.
Where billing is operated by Shopify, Square or Stripe, those providers apply their own terms and may, on their own initiative, grant or refuse a refund under the relationship between you and them. This policy governs requests you send to us directly.
If an issue is caused by a third-party service, an external account suspension, or a billing dispute handled by a provider, you must also contact that service directly. For issues related to Refect itself, you can contact us via the .
Liability
Refect cannot be held liable for:
- The accuracy, lawfulness, or quality of the data, files, images, invoices, prompts, or content you import, synchronize, or publish
- Downtime, limitations, errors, or changes originating from third-party services
- Residual errors in automated or generated outputs, which require human validation
- Direct or indirect damages resulting from inappropriate use of the service or failure to review content before publication
- Loss of access to your account due to negligent credential sharing or an incident at a third-party provider
- Any temporary interruption, maintenance, attack, network outage, or technical incompatibility
The service is provided "as is" without warranty of any kind, express or implied.
Intellectual property
All content on the site (texts, images, logos, design, source code) is the exclusive property of NearMe (SASU in the process of incorporation), operating under the trade name Refect, unless otherwise stated.
Any unauthorized reproduction, representation, modification, or use is prohibited and may constitute infringement subject to civil and criminal penalties.
Changes to the Terms
We reserve the right to modify these Terms at any time. Changes take effect upon publication on this page.
It is your responsibility to regularly consult this page to be aware of any modifications.
Termination
We reserve the right to suspend or terminate access to the service, with or without notice, at any time and for any reason, including:
- Violation of these Terms
- Fraudulent or abusive use of the service
- Technical or maintenance needs
Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute, French courts have exclusive jurisdiction.
